Data1Intel Survey Promo Award Terms and Conditions

I agree to the following Terms and Conditions governing eligibility and the granting of any Data1Intel Survey Promo Awards.

Data1Intel Survey Promo Award Terms and Conditions:

  1. Eligibility. Individuals who are eligible for the Data1Intel Survey Promo Award (hereinafter referred to as Promo Award) must be sent an invitation email directly from Data1Intel and must watch both the VAaaS Preview video and the VAaaS Demo video and complete the six-question survey no later than March 15, 2015. Eligible participants must also agree to the Data1Intel Survey Promo Award Terms and Conditions and, if requested by Data1Intel, must provide proof of identification in the form of a U.S. state driver’s license or other form of identification acceptable to Data1Intel at its sole discretion.
  2. Promo Award Description. The Promo Award consists of the following:
    a. One user license for one fully functional VAaaS subscription/seat for one year starting with the award date. The value of this Award shall not exceed $649. The one year subscription/seat starts upon the user claiming the subscription/seat and ends 365 days later.
    b. A $350 credit which can be applied to the cost of any general Data1Intel cyber security subscription or other data products. This Award does not include consulting time or custom data reports of any kind. Other specific industry reports and/or services may be excluded at Data1Intel’s sole discretion.
    c. The total Promo Award value shall not exceed $999.
  3. Cash Value Option. Data1Intel, may at its discretion pay the user the cash value of the $350 credit (or any portion not applied to another product) in lieu of any subscription or portion thereof.
  4. Granting of the Promo Award. The Promo Award will be granted by Data1Intel to eligible participants only if Data1Intel LLC is fully funded and Data1Intel launches the VAaaS SaaS application and a minimum of three other cyber security data products such as newsletters, bulletins, and reports. If any of the above does not occur, then the Promo Award will not be granted.
  5. Notification of Promo Award Grant. If the launch is successful, eligible participants will be notified about the Promo Award grant within 90 days of the successful launch.
  6. Promo Award Claim Period. Eligible participants must claim the Promo Award within 90 days of the award date by responding to the announcement email. Eligible participants will be notified twice via email of the award date and the user’s eligibility for the Promo Award. If an eligible participant does not claim the Promo Award within 90 days of the second email, the Promo Award is declared void.
  7. Transfer of Award Rights. The rights to the Award described in these Terms and Conditions may be transferred from an eligible participant to another individual one time. In order to transfer these rights, the original eligible participant must notify Data1Intel of their intent to transfer these rights via email at AwardRightsTransfer@data1intel.com no later than 30 days after the Award Grant notification to the original eligible participant. Data1Intel will confirm the rights transfer and notify the new participant of their award.
  8. Data Not for Resale. Awardees agree that any data, reports, bulletins or other information provided to Awardees as part of this process is for the personal and business use of the Awardee only, and Awardee agrees not to resell any information or reports provided by Data1Intel to the Awardee.
  9. Notices. All notices, requests, demands, consents, and other communications which are required or may be given related to these Terms and Conditions shall be in a writing and shall be deemed given and received: (a) on the date of delivery, if personally delivered (if a signed receipt is obtained); (b) on the date of delivery as reflected in the courier’s records if delivered by internationally recognized overnight courier (such as Federal Express) (no signature required); or (c) on the third business day following mailing by registered or certified mail, return receipt requested, provided proper postage was prepaid and the mail was addressed to the address provided by Awardee or such new address that is given to the other Party.
  10. Survival. All of the provisions of this Agreement shall survive the execution, delivery and termination of these Terms and Conditions.
  11. Severability. If any provision in these Terms and Conditions shall be held unenforceable in any way, such provision shall be modified to the extent necessary to make the provision enforceable to the fullest extent permitted by law. In the event modification will not remedy the unenforceability of the provision, the provision shall be stricken without invalidating the remaining provisions of these Terms and Conditions.
  12. Waiver. No delay or failure to exercise any right or remedy in the event of a breach of this Agreement shall be construed as a waiver of that breach or any later breach. The waiver of any condition or any breach of this Agreement shall not be deemed to be a waiver of any other condition or any other breach.
  13. Governing Law; Attorneys Fees. These Terms and Conditions shall be governed by Colorado law. Any legal action related to these Terms and Conditions shall be brought only in the state court located in Arapahoe County, Colorado, USA, or federal court having jurisdiction over Arapahoe County, Colorado. Eligible participants and/or Awardees and/or Transferees irrevocably and voluntarily waives his/her right to object to Arapahoe County, Colorado as an inconvenient forum and right to object to the foregoing courts in/over Arapahoe County, Colorado exercising personal jurisdiction over Eligible participants and/or Awardees and/or Transferees. In any such action, the court shall award to the prevailing Party its costs, expenses, and reasonable attorneys’ and expert witness fees payable by the non-prevailing Party.
